Terms of Service

Effective: 2026-10-02 Version: v2.0 Issued by Dongguan Jinnuo Software Co., Ltd. ("we", "us")

Dear user, welcome to Jinnuo Cloud and Jinnuo ERP. These Terms set out the basic agreement between you and us. Please read and understand them in full, in particular the bold terms concerning your material rights and limitations of liability. If you disagree with any part, please refrain from registering or using the services. By completing registration, logging in, or otherwise using the services, you are deemed to have read, understood and accepted these Terms.

Minors are kindly requested to read these Terms together with a guardian and use the services only with the guardian's consent.

1. Definitions and Services

1.1 Definitions. "Services" means the Jinnuo Cloud website features and Jinnuo ERP mobile (App, WeChat Mini Program, H5) and web bookkeeping, approval, inventory, reporting and related IT services provided under these Terms; "tenant" means an enterprise organization purchasing and using the services for business management; "user" means a natural person authorized by a tenant to use the services.

1.2 Services. We provide annual subscription-based IT services per tenant, including a Trial edition (free of charge; features as displayed) and Standard/Group editions (per the confirmed quotation and contract; see Pricing). As our business evolves, service content may be refined; we will inform you in advance via website announcements. Thank you for your understanding.

1.3 Access. Services may be activated via website registration, commercial contract, or WeCom/DingTalk authorized channels. Certain advanced features (e.g., the AI assistant) require separate tenant activation and are subject to special terms.

2. Accounts: Registration, Use and Deregistration

2.1 Registration. A valid mobile number with SMS verification is required. The initial password defaults to the first six digits of the mobile number; for your account security, please change it promptly after first login and keep your credentials safe. You warrant that submitted information is true, accurate and complete, and will update it timely when changed.

2.2 Use. Accounts are for authorized members of your tenant only; please do not lend, lease, transfer or otherwise share them. Please note that losses arising from poor credential custody may be borne by you — do take good care of them. One enterprise corresponds to one tenant in principle; accounts opened via WeCom/DingTalk are attributed automatically to the authorizing enterprise and cross-enterprise switching is currently unavailable. Thank you for your understanding.

2.3 Deregistration and reclamation. You may deregister via App "Mine → Settings → Deregister", web "Profile → Deregister", or email request. Accounts long inactive without valid subscription may be reclaimed or restricted after prior notice. Data handling upon deregistration is set out in Section 5 and the Privacy Policy.

3. Fees and Payment

3.1 Fees are governed by the contract between the parties; website prices are indicative only. The Trial edition is free of charge. Please pay fees timely and in full per the contract to avoid interruption. Thank you for your cooperation.

3.2 Upon expiry without renewal, write access will be suspended with read-only access retained for 30 days for renewal or data export; thereafter data may be cleaned per backup policies. We recommend arranging backups and renewal in advance, and apologize for any inconvenience.

4. Rules of Conduct

4.1 When using the services, please comply with laws, regulations and public morals, and refrain from:

(1) engaging in unlawful activities, or uploading/disseminating unlawful, vulgar or otherwise objectionable content;

(2) infringing others' lawful rights, including intellectual property, trade secrets and personal information rights;

(3) attacking or damaging service systems, reverse engineering, bulk scraping, or excessive API calls impairing stability;

(4) other uses prohibited by law or contract.

4.2 Upon discovery or substantiated report of such conduct, we may impose throttling, feature restrictions or account suspension proportionate to the circumstances; in serious cases services may be terminated with legal liability pursued, cooperating with regulators as required. We will endeavor to notify you of enforcement outcomes beforehand or afterwards; appeals may be filed via customer service and will be reviewed earnestly.

5. Data Ownership and Intellectual Property

5.1 Data ownership. Business data you enter belongs to you (your tenant). We process it solely as entrusted to provide the services, strictly within that mandate, without commercial reuse. You may export data at any time via system features; upon contract termination or deregistration, we will return and delete data as agreed (except where retention is legally required); see Privacy Policy Section 6 for details.

5.2 Intellectual property. Software, interfaces, documentation and marks embodied in the services belong to us or lawful right holders. Please do not copy, adapt or disseminate them beyond these Terms without written permission — your respect and cooperation are appreciated.

5.3 Feedback. Suggestions you offer may be referenced in improving the services, for which we are sincerely grateful.

6. Modification, Interruption and Termination

6.1 Improvements. Services may be modified or upgraded, or certain features suspended, for technical or business reasons; we will announce such changes in advance where feasible and arrange a smooth transition. Please watch website notices.

6.2 Interruptions. Planned maintenance or network failures may require interruption, of which we will notify you in advance where possible and restore service promptly. For interruptions or data impact caused by force majeure or third-party services (Alibaba Cloud, WeCom, DingTalk, carriers), we will assist recovery within our capabilities, bearing liability per Section 7; matters beyond that scope are appreciated for your understanding.

6.3 Termination. You may stop using the services and apply for termination as agreed at any time; we may terminate where you materially breach these Terms and fail to cure after notice. Data upon termination is handled per Section 5.

7. Disclaimers

7.1 Services are provided "as is" and "as available". While we exercise reasonable efforts to keep them stable and reliable, given current technological constraints, we cannot absolutely warrant uninterrupted or error-free operation, and we thank you for your understanding.

7.2 A note on the AI assistant. AI-generated content (including invoice OCR) is model output for reference only and does not constitute professional financial, tax or legal advice; important vouchers and business decisions should be verified manually — please be mindful of this duty of care.

7.3 To the maximum extent permitted by law, we are not liable for losses beyond our reasonable control, including force majeure, third-party service failures, your own operational errors, or breaches of these Terms by you.

8. Limitation of Liability

8.1 Except as mandatorily required otherwise by law, our aggregate liability under these Terms is capped at the service fees actually paid by you (your tenant) for the year in question. This arrangement reflects the nature and pricing of the services, and we appreciate your understanding.

8.2 To best protect your interests, disputes are encouraged to be resolved first through customer-service consultation, and we will handle your concerns wholeheartedly.

9. Breach of Contract

9.1 A party breaching these Terms and causing loss to the other shall bear corresponding compensation liability under the law. Breaches of Section 4 causing loss to us or third parties may entail legal liability on your part; where our breach impairs your normal use, we will assume corresponding liability and remedy actively.

10. Use by Minors

10.1 Our services are primarily designed for business management scenarios. Minors are kindly requested to read these Terms with a guardian and use the services only with the guardian's consent; guardians are expected to exercise supervision and guide proper use.

11. Notices and Updates

11.1 Notices will be delivered via website announcements, in-app pop-ups, SMS or email; electronic notices are deemed served upon successful dispatch.

11.2 These Terms may be updated as laws evolve or business develops; updates will be prominently announced with effective dates. If you disagree with updated content, please stop using the services and feel free to apply for termination; continued use constitutes acceptance. Thank you for your understanding and support.

12. Governing Law and Disputes

12.1 The conclusion, validity, interpretation and dispute resolution of these Terms are governed by the laws of the People's Republic of China (excluding Hong Kong, Macao and Taiwan for this purpose).

12.2 Disputes shall first be resolved through amicable negotiation; failing that, either party may bring proceedings before the competent people's court at our domicile.

12.3 Invalidity of any provision does not affect the remaining provisions, which continue to bind both parties.
